Terms and Conditions
Your Agreement with Us
These Terms and Conditions ("Conditions") are outlined on behalf of Stretch Ceilings and Walls (the "Service Provider") to the Customer (the "Customer") and form part of each contract ("Contract") made between the Service Provider and the Customer for the production, supply, and installation of products and services ("Services"). Any amendments to these Conditions will only be effective if made in writing and signed by an authorised representative of the Service Provider.
1. Information We Collect
1.1 Definitions

Agreement Period: The duration from the Commencement Date to the termination date.

Agreement Price: The price payable by the Customer for the full and proper performance of the Service Provider's obligations.

Business Day: Any day excluding Saturdays, Sundays, and public holidays when banks are open in Ireland.

Commencement Date: The date the Contract becomes legally binding.

Completion Date: The date the Services are completed, and both parties sign the Certificate of Practical Completion.

Confidential Information: Any information designated as confidential, including business affairs, trade secrets, or intellectual property.

Premises: The location where the Services are to be supplied.

Products: Stretch ceilings and supplementary products supplied by the Service Provider.
2. Key Terms
2.1 Services and Products Provided
(i) The Service Provider will supply and install the Products at the Customer's Premises as per the agreed order.
ii) The Customer agrees to pay for the Products and Services according to the agreed terms.
(iii) Timely delivery of Products and Services is essential to the performance of this Agreement.
2.2 Term of Agreement
The Agreement begins on the Commencement Date and remains in effect until the Services are completed, subject to early termination as provided.
2.3 Quality and Performance
The Services provided will meet industry standards, and the Products will be fit for purpose, in compliance with the Supply of Goods and Services Act 1982.
2.4 Delivery and Completion
(i) The Services will commence on the agreed Commencement Date.
ii) The Service Provider will complete the Services by the agreed Completion Date.
(iii) Any delays caused by the Customer's failure to meet financial obligations may result in work suspension.
2.5 Price and Payment
(i) All prices are in EURO, excluding VAT.
ii) The Service Provider may adjust the price with at least 10 business days’ notice to the Customer.
(iii) The Customer must pay the invoice within [insert days]. A deposit may be required before the Services commence.
2.6 Right to Reject
The Service Provider reserves the right to reject orders due to technical limitations after inspection of the Premises.
3. Warranties and Liability
3.1 Guarantee from Manufacturer
(i) The Products are covered by a Manufacturer’s Guarantee for 10 years.
ii) The Guarantee applies only to defects in the Products, not installation faults or improper usage.
3.2 Customer Liability
The Customer is responsible for ensuring the site is suitable for installation and for providing accurate information regarding measurements and specifications.
3.3 Limitation of Liability
The Service Provider’s liability is limited to the replacement or repair of defective Products. The Service Provider is not liable for indirect losses, including loss of profits or inconvenience caused by delayed Services.
4. Confidentiality
Both parties agree not to disclose any Confidential Information obtained during the performance of the Agreement to any third party, except as required by law.
5. Termination
Either party may terminate the Agreement by giving written notice if the other party breaches any material obligation or becomes insolvent.
6. Force Majeure
Neither party will be liable for any failure or delay in performing their obligations due to circumstances beyond their control, including natural disasters, strikes, or governmental restrictions.
7. Dispute Resolution
The parties agree to attempt to resolve any disputes through negotiation in good faith. If a resolution cannot be reached, either party may seek mediation or arbitration before pursuing legal action.
8. Governing Law
This Agreement is governed by the laws of Ireland, and any disputes will be subject to the exclusive jurisdiction of the courts of Ireland.
9. Notices
All notices related to this Agreement must be in writing and delivered to the relevant parties at their registered addresses.
10. Miscellaneous
10.1 Severability: If any part of this Agreement is deemed invalid, the remaining provisions will continue in full force and effect.
10.2 Waiver: Failure to enforce any part of this Agreement will not be considered a waiver of any rights or obligations.
10.3 Entire Agreement: This Agreement represents the entire understanding between the parties and supersedes any prior agreements.
